What will be difference in features and functionality of phone with ICS and a phone which had ginger bread upgraded to ICS?
Too many changes to mention. Top of my mind:
- Droid font is replaced by Roboto
- Holo theme
- New People hub
- Resizable widgets
- New multitasking UI
- Virtual buttons in UI (depends on device, though)
- Drag & drop of one app on another creates a folder
- Take a screenshot is provided by OS
- Much better copy/paste UI/implementation
- Face unlock
- Updated Photo gallery & new picture editor
- Data usage monitor
- Updated camera app with built-in panorama mode
- HW acceleration for UI
Loads of SDK changes, for devs.

OP If you are trying to ask if there is any difference in buying a phone which comes with ICS pre-installed and the one with GB but is upgradable to ICS then as far as I know there is no difference
